Terms of Service

These Terms of Service ("Terms") govern your access to and use of the AlignSure platform ("Platform") provided by Newf Technology, Inc. ("Company," "we," "us," or "Newf Technology"), operating as AlignSure. By accessing or using the Platform, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account or accessing the Platform, you represent that you have the authority to bind your organization to these Terms. If you do not agree to these Terms, you may not access or use the Platform. These Terms apply in addition to any separately executed service agreement or order form between your organization and the Company.

2. Account Terms

Access to the Platform requires authentication through Microsoft Entra ID. You are responsible for maintaining the security of your Microsoft account credentials and for all activity that occurs under your account. You must promptly notify us of any unauthorized use of your account.

You agree to provide accurate and complete information during registration and to keep your account information current. We reserve the right to suspend or terminate accounts that contain inaccurate information.

3. Platform Usage

Subject to these Terms and any applicable service agreement, we grant you a limited, non-exclusive, non-transferable right to access and use the Platform for your organization's internal compliance management purposes. This right is conditioned on your compliance with these Terms and timely payment of applicable fees.

4. PHI Responsibilities

If your use of the Platform involves Protected Health Information (PHI) as defined by HIPAA, a Business Associate Agreement (BAA) must be executed between your organization and the Company prior to any PHI being processed through the Platform. The BAA governs the handling of PHI and supplements these Terms.

You are responsible for ensuring that any PHI submitted to the Platform is done in compliance with applicable law, including HIPAA, and that you have obtained all necessary authorizations and consents. You agree not to submit PHI to the Platform until a BAA is in place.

5. Prohibited Uses

You agree not to:

• Use the Platform for any unlawful purpose or in violation of any applicable regulations
• Attempt to gain unauthorized access to any portion of the Platform or its related systems
• Interfere with or disrupt the integrity or performance of the Platform
• Reverse engineer, decompile, or disassemble any aspect of the Platform
• Use the Platform to process data in violation of HIPAA or other applicable privacy laws
• Share access credentials or allow unauthorized individuals to access the Platform
• Use the Platform in a manner that could damage, disable, or impair its functionality

6. Intellectual Property

The Platform, including all software, algorithms, documentation, and content created by the Company, is the intellectual property of Newf Technology, Inc. and is protected by applicable copyright, trademark, and other intellectual property laws. Your use of the Platform does not grant you any ownership rights.

You retain all rights to the data you submit to the Platform ("Customer Data"). You grant us a limited license to process Customer Data solely to provide the Platform services as described in these Terms and any applicable service agreement.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM, REGARDLESS OF THE THEORY OF LIABILITY.

THE COMPANY'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO THE COMPANY IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

8. Termination

Either party may terminate these Terms upon written notice if the other party materially breaches these Terms and fails to cure such breach within thirty (30) days of receiving written notice. We may suspend access to the Platform immediately if we reasonably believe that continued access poses a security risk or violates applicable law.

Upon termination, your right to access the Platform ceases immediately. We will handle Customer Data, including PHI, in accordance with the applicable service agreement and BAA. Data retention and destruction obligations survive termination.

9. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws provisions. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Delaware.
